1. Acceptance

By accessing HZad Talk (the “Platform”), you irrevocably agree to these Terms. If you do not accept every provision, do not use the Platform.

2. Eligibility & Compliance

You must be 18 + (or the age of digital consent in your jurisdiction). You are solely responsible for obeying all laws that apply to you.

3. License to Use

HZad Talk grants you a limited, non-transferable, revocable license to access the Platform for personal, non-commercial use. We may suspend or terminate this license at any time, for any reason, without notice.

4. User Content

You retain ownership of content you upload, but you grant HZad Talk a perpetual, worldwide, royalty-free license to host, reproduce, and display that content within the Platform. You waive all moral rights to the extent permitted by law.

You are 100 % liable for your content and interactions. We are not the publisher or speaker of user content.

5. AI, Feedback & External Links

Outputs from our AI assistant (“Allana”) are for informational purposes only and may be inaccurate. External links (e.g., Zoom) are provided “as-is.” We do not endorse or control third-party services and accept no responsibility for them.

6. No Professional Advice

Nothing on the Platform constitutes legal, medical, psychological, or professional advice. Use at your own risk.

7. Payments & Refunds

All sales are final except where a written refund policy expressly states otherwise.

8. Disclaimer of Warranties

The Platform is provided “AS IS,” “WITH ALL FAULTS,” and “AS AVAILABLE.” To the maximum extent permitted by law, we disclaim every warranty (express, implied, statutory, or otherwise), including without limitation any warranties of merchantability, fitness for a particular purpose, accuracy, quiet enjoyment, non-infringement, availability, or security.

9. Limitation of Liability

Indirect / Consequential Damages. HZad Talk shall never be liable for any indirect, incidental, special, exemplary, statutory, punitive, or consequential damages arising from or related to the Platform.

Aggregate Cap. HZad Talk’s total cumulative liability to you shall not exceed the greater of (a) USD 100 or (b) the amount you paid us in the preceding 12 months.

Essential Purpose. You acknowledge these limits form an essential basis of the bargain.

Some jurisdictions do not allow certain exclusions; in such places our liability is limited to the fullest extent permitted.

10. Indemnification

You will defend, indemnify, and hold harmless HZad Talk, its affiliates, directors, employees, and agents from any claim, loss, liability, damage, cost, or expense (including attorneys’ fees) arising out of or related to:

• (a) your use of the Platform;
• (b) your content;
• (c) your violation of these Terms or any law;
• (d) your interaction with other users.

11. Binding Arbitration & Class-Action Waiver

Any dispute arising out of or relating to these Terms or the Platform shall be resolved by final, binding, individual arbitration under the rules of the [Arbitral Institution] in [Seat of Arbitration].

• No class or representative actions. You may bring claims only on your own behalf.
• You waive any right to a jury trial.
• The arbitrator may award individual relief only.

If a court finds the class-action waiver unenforceable, the entire arbitration clause is void, and disputes shall instead be heard in the courts of [Jurisdiction], to whose personal jurisdiction you consent.

12. Governing Law

These Terms are governed by the laws of Manitoba and the federal laws of Canada, without regard to conflict-of-law principles.

13. Force Majeure

We are not liable for any failure to perform due to causes beyond our reasonable control (e.g., acts of God, internet failures, pandemic, government action).

14. Severability

If any provision is unlawful or unenforceable, that provision is severed and the remainder remains in effect.

15. Entire Agreement & Updates

These Terms constitute the entire agreement between you and HZad Talk regarding the Platform, superseding any prior agreements. We may update these Terms at any time by posting the revised version and updating the “Last Updated” date. Continued use after changes constitutes acceptance.
